What you will do

• Lead M&A execution from term sheet through closing, including structuring, due diligence, and negotiation.
• Manage joint venture projects end-to-end, from governance design to operational frameworks.
• Advise on equity issuances, secondary transactions, and subsidiary governance.
• Build and systematize corporate legal processes, templates, and playbooks.
• Partner with senior leadership including the CFO and CEO on strategic capital and corporate initiatives.
• Oversee external counsel management, including budget and invoice review.

Requirements

• 12+ years of corporate legal experience, including top-tier law firm or significant in-house tenure.
• Qualified lawyer in the US in good standing.
• Strong track record in M&A and complex corporate transactions.
• Experience advising senior stakeholders on corporate matters.
• Ability to partner effectively with cross-functional teams like Finance, Tax, and People.

Nice to have

• Experience in fast-growth or pre-IPO businesses.
• Familiarity with employee equity at venture or pre-IPO stages.
