Salary: $225,000–$250,000 (plus bonus and equity).

What you will do

• Lead legal strategy for M&A, strategic investments, joint ventures, and complex financing transactions.
• Oversee public company reporting, including 10-K, 10-Q, 8-K, and proxy statements.
• Advise on corporate governance, Board and committee practices, and stock exchange listing standards.
• Partner with Finance, Investor Relations, and executive leadership on disclosure controls and earnings processes.
• Build and develop scalable legal processes, playbooks, and review protocols for the corporate function.
• Manage outside counsel relationships, budgets, and transaction workstreams.

Requirements

• J.D. from an accredited U.S. law school and active U.S. state bar membership.
• 10+ years of relevant legal experience, including significant corporate governance and securities law.
• At least 4 years of in-house experience at a public company.
• Demonstrated experience advising senior executives and Board committees.
• Strong working knowledge of SEC reporting, Nasdaq rules, and public company compliance.
• Experience managing legal support for M&A and complex corporate transactions.

Nice to have

• Experience in technology, semiconductor, or AI infrastructure industries.
• Experience with project finance, asset-backed financing, or cross-border transactions.
• Experience navigating major corporate events like spin-offs or contested governance situations.
