Focus on ensuring adherence to NYSE listing rules, Section 16 reporting, and facilitating effective communication between the Board of Directors and senior management.

Location: Must be based in the United States (Wilmington, DE preferred; remote arrangements considered for the right candidate).

What you will do

  • Manage Board and Committee meeting logistics, agendas, and documentation.
  • Prepare minutes, written consents, and officer certificates.
  • Ensure compliance with SEC, NYSE, and Section 16 reporting requirements.
  • Administer director compensation, equity payments, and the annual board evaluation process.
  • Facilitate director orientation and ongoing education programs.
  • Support the Annual Shareholder Meeting process and corporate legal projects.

Requirements

  • Bachelor’s degree required.
  • Minimum 5 years of experience in legal/SEC reporting, corporate secretary departments, or large law firm corporate practice.
  • Working knowledge of SEC, NYSE, and Section 16 reporting requirements.
  • Experience working with C-suite executives and managing high-priority assignments.
  • Must be authorized to work in the United States.
  • Excellent organizational, communication, and professional discretion skills.
